1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of the E-Votify platform ("Platform"), operated by E-Votify ("we", "us", or "our"). E-Votify is a software-as-a-service (SaaS) platform that enables schools, organisations, and event organisers to create and manage paid online voting campaigns, elections, awards, and fundraising events ("Events"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
2. Definitions
- "Organiser" means a school, organisation, or individual that creates and manages an Event on the Platform.
- "Voter" means an individual who purchases votes or makes a payment through the Platform to support a contestant or cause.
- "Contestant" means an individual or team nominated or entered into an Event.
- "Event" means a voting campaign, election, award, or fundraising activity created by an Organiser.
- "Payment Processor" means Paystack, the secure third-party payment gateway used to process transactions on the Platform.
3. Use of the Platform
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Platform. Organisers are responsible for ensuring that their Events comply with all applicable laws, regulations, and institutional policies. You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not interfere with the integrity or performance of the Platform or attempt to gain unauthorised access to any part of it.
4. Account Registration
To create an Event or access certain features, you may be required to register an account. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activities that occur under your account. E-Votify reserves the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.
5. Payments and Fees
All payments for votes and donations are processed securely through Paystack, our Payment Processor. By initiating a payment, you authorise us and Paystack to charge the applicable amount using your selected payment method. Vote prices are set by the Organiser of each Event. E-Votify may charge a platform or processing fee, which will be disclosed before checkout where applicable.
You acknowledge that votes are digital goods delivered instantly upon successful payment confirmation. As such, all vote purchases are generally final and non-refundable except where required by law or as outlined in our Refund Policy. E-Votify does not store your full payment card details; all card data is handled directly by Paystack in compliance with PCI-DSS standards.
6. Organiser Responsibilities
Organisers are solely responsible for the content, conduct, and administration of their Events. This includes, but is not limited to: setting vote prices, verifying contestant eligibility, ensuring fair play, complying with data protection obligations, and distributing prizes or awards. E-Votify provides the technology but does not endorse, sponsor, or guarantee any Event. Organisers agree to indemnify and hold E-Votify harmless from any claims arising from their Events.
7. Voter Conduct
Voters agree to participate in Events honestly and in good faith. Prohibited conduct includes, but is not limited to: using stolen payment methods, attempting to manipulate vote counts through bots, scripts, or other automated means, colluding to distort results, or engaging in fraudulent activity. E-Votify reserves the right to cancel votes, withhold payouts, and suspend accounts where fraudulent or abusive activity is detected.
8. Intellectual Property
All content, software, trademarks, and intellectual property on the Platform are owned by E-Votify or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for its intended purpose. You retain ownership of any content you upload (such as contestant photos or school logos), but you grant E-Votify a worldwide, royalty-free licence to host, display, and distribute that content solely for the purpose of operating your Event.
9. Limitation of Liability
To the fullest extent permitted by law, E-Votify and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Platform. Our total liability for any claim arising under these Terms shall not exceed the total amount you paid to E-Votify in the twelve (12) months preceding the claim.
10. Termination
We may suspend or terminate your access to the Platform at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, all licences granted to you will cease immediately. Sections that by their nature should survive termination shall continue in full force and effect.
11. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation. If unresolved, the dispute shall be submitted to binding arbitration or the courts of competent jurisdiction in Nigeria, as mutually agreed by the parties.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms.
